2. Our Services

Independent AFSL provides Australian Financial Services License (AFSL) holder services and related compliance support to financial advisers and practices. Our services include:

AFSL Application Support

Assistance with obtaining and maintaining an Australian Financial Services License

Compliance Services

Ongoing compliance monitoring, reporting, and regulatory support

Technology Solutions

Access to compliance and practice management technology platforms

Advisory Support

Professional guidance on regulatory matters and business practices

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to users.

3. User Registration

To access certain services, you may be required to register an account. When registering, you agree to:

Provide accurate, current, and complete information during registration
Maintain and promptly update your account information
Maintain the security and confidentiality of your account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to refuse registration or terminate accounts that violate these Terms or applicable laws.

We operate on a transparent, fixed-fee model. All fees are clearly disclosed in your service agreement and are payable in accordance with the agreed payment schedule.

Payment Terms

Payment is due within 14 days of invoice date unless otherwise agreed. Late payments may incur interest charges at the rate prescribed by law.

Fee Changes

We reserve the right to adjust fees with 60 days' written notice. Changes will not affect fees already agreed for current service periods.

Refund Policy

Refunds are considered on a case-by-case basis. Fees for services already provided are generally non-refundable.

6. Intellectual Property Rights

All intellectual property rights in our services, website, content, and materials remain our exclusive property or that of our licensors.

We retain all rights to:

Your License

We grant you a limited license to:

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our relationship.

Confidential Information

Includes but is not limited to: client information, business strategies, financial data, proprietary methodologies, and any information marked as confidential. This obligation survives termination of our agreement and continues indefinitely unless the information becomes publicly available through no fault of the receiving party.

No Guarantee of Outcomes

While we strive for excellence, we do not guarantee specific outcomes, regulatory approvals, or business results. Each situation depends on individual circumstances and external factors beyond our control.

Not Financial Advice

Our services relate to licensing and compliance support. We do not provide personal financial advice. Users are responsible for their own financial advisory services to clients.

Regulatory Changes

Laws and regulations change frequently. While we monitor regulatory developments, we are not liable for changes that impact your business or operations.

Third-Party Services

We are not responsible for the actions, errors, or omissions of third-party service providers, even if recommended by us.

9. Limitation of Liability

To the maximum extent permitted by law, Independent AFSL shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages

Loss of profits, revenue, data, or business opportunities

Damages arising from third-party actions or regulatory decisions

Losses resulting from service interruptions or technical issues

Liability Cap

Our total liability for any claims arising from our services shall not exceed the fees paid by you to us in the 12 months preceding the claim, or AUD $10,000, whichever is greater.

Note: Nothing in these Terms excludes or limits liability for fraud, gross negligence, or liability that cannot be excluded under Australian law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Independent AFSL, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

1Your violation of these Terms or any applicable laws or regulations
2Your infringement of any intellectual property or proprietary rights
3Your provision of financial advice or services to your clients
4Any negligent or unlawful conduct by you or your representatives

11. Termination

Termination by You

You may terminate your use of our services at any time by providing written notice in accordance with your service agreement.

Notice period: Typically 60-90 days as specified in your agreement

Termination by Us

We may terminate or suspend services immediately if you breach these Terms, fail to pay fees, or for any other material reason.

We will provide reasonable notice except in cases of serious breach

Effect of Termination

Upon termination: (1) your access to services will cease, (2) outstanding fees become immediately due, (3) you must return or destroy confidential materials, and (4) certain provisions of these Terms will survive termination, including confidentiality, indemnification, and limitation of liability clauses.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Victoria, Australia, without regard to conflict of law principles.

Jurisdiction

You irrevocably submit to the exclusive jurisdiction of the courts of Victoria, Australia, and any courts that may hear appeals from those courts, for any proceedings arising out of or relating to these Terms. Both parties waive any objection to the venue of any such proceedings in Victoria and any claim that such proceedings have been brought in an inconvenient forum.

13. Dispute Resolution

In the event of any dispute arising from these Terms, the parties agree to follow this resolution process:

Negotiation

Parties must first attempt to resolve the dispute through good faith negotiations. Either party may initiate by providing written notice of the dispute.

Mediation

If negotiation fails within 30 days, parties agree to mediation with a mutually agreed mediator or through an appropriate mediation service.

Litigation

Only if mediation is unsuccessful may either party commence litigation in accordance with the governing law provisions above.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make changes, we will:

Update the “Last Updated” date at the top of this page
Notify you via email or through our platform if the changes are material
Provide reasonable notice (typically 30 days) before changes take effect

Your continued use of our services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must discontinue use of our services.

Acceptance of Terms

By using Independent AFSL's services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. These Terms constitute a legally binding agreement between you and Independent AFSL.
